The Mergers & Acquisitions (M&A) process represents an advanced stage in the life cycle of companies that have reached maturity in their business activities. Often, the next phase of growth and business development for these companies is achieved through the acquisition of business activities that are synergistic with their own, or alternatively, they may be compelled to sell their business operations for various reasons. Examples include the lack of a successor for aging business owners, the inability to continue business development and realize the company’s potential without the support and capabilities of a larger organization, choosing to liquidate the company or part of it for personal reasons, and more.
The process of buying or selling a business is complex and multifaceted, typically involving different stages for each transaction. Each party behaves differently, driven by unique business intentions and operates based on specific considerations and decisions that reflect the nature of the business and the relevant market characteristics.
Our Mergers & Acquisitions Department specializes in this field and provides guidance to companies and businesses on both the Sell-Side and Buy-Side from both a business and accounting perspective. We have been supporting M&A transactions for decades, assisting business owners in selling their businesses or acquiring businesses to expand their services. We handle transactions of all sizes and across various sectors. From our extensive experience, we know that the assistance company managers need goes beyond merely evaluating the business’s worth or providing value indicators. Our approach involves providing genuine, holistic, tactical, and strategic support throughout the acquisition or sale process. Our Economic Department, which includes experts in investments, valuation, financing, capital markets, commercial negotiations, and taxation, enables us to assist, mediate, and advise at every decision-making point faced by our clients during a complex and sensitive M&A process. This includes handling critical dilemmas under pressure, which can have significant consequences on the continued business activities of both the acquiring and acquired parties.
In most M&A transactions in the Israeli market, one or more of the parties involved is conducting such a process for the first time in their lives. This lack of experience presents a significant risk of making suboptimal decisions that may not align with their specific interests. Moreover, as part of the process, our Economic Department undertakes a series of actions, including comprehensive company valuations, conducting due diligence on the acquired company, or alternatively, supporting the due diligence conducted by the purchasing party, strategic planning of the sale process, careful selection of the other party, including examining the synergy that will result from this process, evaluating the business model, including examining options that may arise if the deal is not fully completed, advising on the structure of the deal, including contingent compensation and/or future milestones, examining tax issues arising from the process, and supporting the legal negotiations and business and accounting issues that arise until the agreement is signed and even afterward during its implementation.
Our Mergers & Acquisitions Department, and especially our managing partner, Michael Weitzman, CPA, are highly experienced in this service. Over the years, we have successfully assisted in numerous M&A transactions, including providing support in various sectors and on both sides of the transactions. Recently, we successfully facilitated the sale of a private company to a public company, with the value of the company we helped sell significantly exceeding 100 million NIS.
